Terms and Conditions

• "Nodo Digital", "we", "our": refers to Nodo Digital and its authorized representatives

• "Client", "you": refers to the person or entity engaging our services

• "Services": includes web design, software development, digital consulting, web maintenance, and related services

• "Project": the specific work agreed upon between Nodo Digital and the Client

• "Deliverables": the files, code, designs, and documentation produced during the project

• "Platform": our website and any digital applications or services we provide

By using our services, you confirm that:

• You have read, understood, and accept these Terms

• You have legal capacity to enter into binding contracts

• If acting on behalf of a company, you have authority to bind that entity

• You agree to receive electronic communications related to services

If you do not agree with these Terms, do not use our services.

Nodo Digital offers the following services:

3.1. Nodo Design (Available)

• Custom website design and development

• Conversion-optimized landing pages

• Corporate and e-commerce websites

• Responsive and mobile-first design

• On-page SEO optimization

• Form and tool integration

3.2. Nodo Bot (In Development)

• AI-powered WhatsApp chatbots

• Customer service automation

• Management system integration

• Service subject to future availability

3.3. Nodo Gestión (In Development)

• Business management software

• Inventory and sales control

• Billing and reporting

• Service subject to future availability

Specific services, scope, and pricing are defined in individual quotes or contracts.

4.1. Request and Quote

• Client requests information about services

• Nodo Digital provides detailed quote including: scope, price, timelines, and conditions

• Quote is valid for 30 days unless otherwise stated

4.2. Acceptance

• Client accepts quote in writing (email, digital signature, or initial payment)

• Acceptance constitutes a binding agreement

• Any modifications must be agreed upon in writing

4.3. Project Start

• Project begins upon receipt of agreed initial payment

• Client must provide all necessary information and materials

• Timelines start counting from when we have all materials

5.1. Pricing

• Prices are expressed in Argentine pesos (ARS) or US dollars (USD)

• Prices include VAT when applicable

• Prices may change without notice for future projects

5.2. Payment Methods

• Bank transfer

• MercadoPago / PayPal

• Cash (for local clients)

• Interest-free installments (subject to availability)

5.3. Payment Terms

Web Design Projects:

• 50% at project start

• 50% upon completion and before delivery

Large Projects (+$500,000 ARS):

• 40% at start

• 30% at project midpoint

• 30% upon completion

Maintenance Services:

• Monthly payment in advance

5.4. Late Payments

• Overdue payments incur 3% monthly interest

• Projects pause after 7 days late

• Projects cancel after 30 days late with no deposit refund

• We may suspend service access for non-payment

6.1. Estimates

• Timelines are estimates and may vary by complexity

• Timelines begin when we receive all necessary materials

• Scope changes may extend timelines

6.2. Delays

Nodo Digital is not responsible for delays caused by:

• Client's lack of response or materials

• Scope changes requested by Client

• Third-party provider issues (hosting, domains)

• Force majeure circumstances

6.3. Rush Deliveries

• Available with 30-50% surcharge depending on urgency

• Subject to our team's availability

Client agrees to:

• Provide accurate and complete information

• Deliver materials (text, images, logos) in suitable formats

• Respond to inquiries reasonably (maximum 5 business days)

• Review and approve deliverables within agreed timelines

• Have rights and licenses for all provided content

• Contract hosting and domain when necessary (or authorize Nodo Digital)

• Make timely payments

• Not reproduce, resell, or distribute our work without authorization

Non-compliance may result in delays or project cancellation.

8.1. Included Revisions

• Landing Page: 2 revision rounds

• Professional Site: 4 revision rounds

• E-commerce: 6 revision rounds

• Enterprise: Unlimited revisions during project

8.2. Additional Revisions

• $15,000 ARS per additional round for basic projects

• $25,000 ARS per additional round for complex projects

8.3. Scope Changes

• Significant changes require new quote

• May generate additional costs and time

• Must be approved in writing by both parties

9.1. Pre-existing Work

• Nodo Digital retains rights to base code, frameworks, and proprietary tools

• Client does not acquire rights to our methodologies or processes

9.2. Custom Work

Upon full payment, Client obtains:

• Rights to use custom design and code for their project

• Non-exclusive, perpetual, and irrevocable license

• Right to modify for own use

9.3. Limitations

Client may NOT:

• Resell or redistribute code/design as template

• Claim authorship of work

• Sublicense to third parties without authorization

9.4. Portfolio

• Nodo Digital may showcase project in portfolio and marketing materials

• We may use screenshots and project descriptions

• Client may request confidentiality in writing

10.1. Warranty Period

• 30 days for Landing Pages

• 60 days for Professional Sites

• 90 days for E-commerce and Enterprise

During this period, we fix at no cost:

• Functionality errors

• Original code bugs

• Browser compatibility issues

10.2. Warranty Exclusions

We do NOT cover:

• Modifications made by Client or third parties

• Hosting or domain issues

• Platform updates (WordPress, plugins)

• New content or features

• Incompatibilities with third-party plugins/themes installed later

10.3. Post-Warranty Support

• Available hourly: $8,000 - $15,000 ARS/hour

• Monthly maintenance plans available

• Response within 24-48 business hours

11.1. Client Responsibility

• Client is responsible for contracting and paying for hosting/domain

• Must provide access when necessary

• Must maintain active and paid accounts

11.2. Nodo Digital Assistance

• We advise on provider selection

• We can manage contracting with authorization

• We configure contracted services

11.3. Recommended Providers

• Hosting: Vercel, Netlify, Hostinger, DigitalOcean

• Domains: NIC.ar, GoDaddy, Namecheap

11.4. Non-Responsibility

We are not responsible for:

• Server downtime

• Domain renewals

• Traffic or storage limits

• Hosting email issues

12.1. Client Cancellation

Before start:

• 100% refund of initial payment

During project (before 50% complete):

• 50% refund of initial payment

• Hours worked charged at hourly rate

After 50% complete:

• No refund

• Client may request partial delivery of work

12.2. Nodo Digital Cancellation

We may cancel if:

• Client fails to make payments (30+ days late)

• Client doesn't provide materials (60+ days no response)

• Unreasonable requests or abusive behavior

• Illegal or fraudulent activities

In these cases:

• No deposit refund

• Work completed to date delivered

12.3. Subscription Services

• Cancellation with 30 days notice

• No refund of monthly payments already made

• Access continues until end of paid period

13.1. General Limitation

Nodo Digital's total liability shall not exceed the amount paid by Client for the specific project.

13.2. Excluded Damages

We are NOT liable for:

• Loss of revenue or profits

• Data loss

• Loss of business opportunities

• Indirect, incidental, or consequential damages

• Service interruptions

• Client-provided content

• Third-party actions (hackers, competitors)

13.3. Third-Party Services

We do not guarantee nor are responsible for:

• Operation of external APIs or services

• Platform policy changes (Google, Facebook, etc.)

• Third-party plugins or themes

• Hosting issues

13.4. Marketing Results

We do not guarantee:

• Specific SEO rankings

• Traffic or conversion amounts

• Advertising campaign results

We provide best practices, not guaranteed results.

Client agrees to indemnify and hold harmless Nodo Digital from:

• Claims related to Client-provided content

• Copyright or trademark violations

• Privacy or data protection violations

• Improper use of website or services

• Breach of these Terms

This includes legal fees and defense costs.

15.1. Confidential Information

Both parties agree to keep confidential:

• Sensitive business information

• Technical data and proprietary code

• Business strategies

• Financial information

15.2. Exceptions

Not considered confidential:

• Public information

• Information legally received from third parties

• Independently developed information

• Information required by law

15.3. Duration

• Confidentiality obligation persists 5 years after project completion

We are not responsible for delays or non-performance caused by events beyond our control:

• Natural disasters

• Pandemics or health emergencies

• Wars or civil conflicts

• Infrastructure failures (internet, electricity)

• Government acts or regulatory changes

• Strikes or labor disputes

• Cyberattacks or widespread security failures

In these cases, timelines will be reasonably extended or project may be canceled with proportional refund.

By using our services, Client agrees NOT to:

• Create sites for illegal content (child pornography, trafficking, etc.)

• Promote hate, violence, or discrimination

• Commit fraud, phishing, or scams

• Violate third-party intellectual property

• Distribute malware or viruses

• Collect personal data without consent

• Spam or mass unsolicited mailing

• Perform activities that damage our reputation

We reserve the right to:

• Reject projects violating these policies

• Cancel services immediately without refund

• Report illegal activities to authorities

We may modify these Terms at any time.

We will notify changes through:

• Update on our website with new date

• Email to clients with active projects

Changes take effect:

• 30 days after notification

• Immediately for new projects

Ongoing projects:

• Governed by Terms in effect at project start

• Unless both parties agree to new terms

19.1. Amicable Negotiation

Any dispute will first be resolved through good faith negotiation for 30 days.

19.2. Mediation

If negotiation fails, parties agree to mediation before litigation.

19.3. Jurisdiction and Applicable Law

• Applicable law: Republic of Argentina

• Jurisdiction: Courts of Tucumán province, Argentina

• Language: Spanish

19.4. Legal Costs

• Losing party pays winning party's legal fees

20.1. Entire Agreement

• These Terms, together with specific quote/contract, constitute the entire agreement

• Replaces any prior verbal or written agreement

20.2. Severability

• If any provision is invalid, others remain in force

20.3. Waiver

• Not exercising a right does not constitute waiver of it

20.4. Assignment

• Client cannot transfer rights without written consent

• Nodo Digital may subcontract services while maintaining responsibility

20.5. Notices

• Email communications are valid

• Client's primary email: that provided upon contracting

20.6. Language

• In case of conflict between Spanish and English versions, Spanish version prevails
